TERMS OF USE

1. Introduction and Scope

These Terms of Use (« Terms ») govern access to and use of the Make It Real website and the music recreation services provided by Make It Real.

By submitting a project request, accepting a quotation or Project Confirmation, making a payment, or otherwise expressly agreeing to these Terms, the Client agrees to be bound by them.

For each Project, the applicable quotation, Project Confirmation, rights agreement or other written agreement may specify additional or different terms. Where such a document expressly applies to a specific Project, it shall prevail over these Terms to the extent of any inconsistency.

Nothing in these Terms excludes or limits any mandatory legal rights that cannot lawfully be excluded or limited.


2. About Make It Real

Make It Real is an Individual Enterprise (France) specializing in the human recreation of AI-generated or AI-assisted music through newly created human recordings.

Services may include the recreation of complete tracks, individual stems and optional professional vocal recordings.

Make It Real does not represent that human recreation automatically removes, replaces, extinguishes or clears any copyright, neighboring rights, performer rights, contractual restrictions or other rights relating to the original reference material.


3. Definitions

For these Terms:

« Client » means the individual or professional entity requesting or purchasing Services.

« Client Materials » means all materials supplied by the Client, including audio files, AI-generated or AI-assisted music, stems, MIDI files, lyrics, recordings, references, instructions and other project materials.

« Deliverables » means the files and recordings expressly included in the relevant Project.

« Project » means a specific service requested and accepted by Make It Real.

« Project Confirmation » means the written confirmation, quotation or other document confirming the scope, price and relevant terms of a Project.

« Services » means the music recreation and related services provided by Make It Real.

« Business Day » means a day other than Saturday, Sunday or a French public holiday.

« Consumer » means an individual acting for purposes outside their professional activity.

« Professional Client » means a person or entity acting for professional or business purposes.


4. Services

4.1 Full Track Recreation

Unless otherwise agreed:

  • Human recreation of a complete track
  • Maximum 12 stems
  • Maximum duration of 4 minutes
  • Standard production time: approximately 6–8 Business Days
  • Express production: approximately 3–4 Business Days
  • Express service surcharge: +20%

4.2 Single Track Recreation

Unless otherwise agreed:

  • Recreation of one individual stem or musical element
  • Maximum 1 stem
  • Maximum duration of 4 minutes
  • Standard production time: approximately 2–3 Business Days
  • Express production: approximately 1–2 Business Days
  • Express service surcharge: +20%

4.3 Professional Vocal Service

Professional vocal recording is optional and subject to availability.

The Client may select a singer from the available options communicated by Make It Real.

The singer acts as an external contractor or collaborator and does not directly contract with the Client unless expressly agreed otherwise.

Vocal availability is not guaranteed. If the selected singer becomes unavailable, Make It Real may offer another singer, a revised recording date or a refund of the Professional Vocal Service amount if no acceptable alternative is available.

The vocal performance is a new human performance.

Make It Real does not guarantee an exact reproduction of the reference singer’s voice, timbre, pronunciation, interpretation or performance.

Exact voice imitation, impersonation or voice cloning is not included.

Make It Real may refuse a request where the requested work is technically impossible, outside the agreed scope, exceeds the stated limits, raises legal or third-party rights concerns, or cannot reasonably be completed within its available capacity.


5. Ordering Process

A Client may submit a project request through the website project form.

Make It Real may review the request and request clarification or additional information.

Make It Real may take up to 48 hours to review a request and determine whether it can accept the Project.

The Client may expressly waive this review period.

Submitting a request does not automatically create a contract or guarantee acceptance.

A Project becomes confirmed when the applicable requirements have been completed, which may include acceptance of the quotation or Project Confirmation and payment.

Production normally begins only after:

  • The Project has been confirmed
  • Required payment has been received
  • Required Client Materials have been provided
  • Necessary instructions and information have been received

6. Pricing and Payment

Prices are communicated through the relevant quotation or Project Confirmation.

Express production is subject to the applicable express surcharge.

Additional charges may apply where the Client requests:

  • Additional stems
  • Additional duration
  • Work outside the agreed scope
  • Additional services
  • Substantial changes
  • Additional revision work
  • Corrections or rework resulting from incomplete, inaccurate or changed Client instructions

Where reasonably practicable, additional charges will be communicated before the additional work is performed.

Payment is required before production begins unless otherwise agreed in writing.

Available payment methods may include:

  • Payment through an external payment page operated by a third-party payment provider
  • Bank transfer
  • PayPal
  • Other payment methods made available by Make It Real

Make It Real does not directly process complete payment card or banking credentials through the website where payment is made through an external payment page.

The relevant third-party payment provider’s terms and privacy policy may also apply.

All applicable taxes and VAT treatment are determined in accordance with applicable law.

If a payment is reversed, cancelled, charged back or otherwise not successfully completed, Make It Real may suspend the Project and any applicable rights until payment has been resolved.

No rights in the Deliverables are granted or transferred before full payment unless expressly agreed otherwise in writing.


7. Production Timelines

Production times are estimates unless a specific delivery date has been expressly confirmed in writing.

The production period normally begins once the Project is confirmed, payment has been received and all necessary Client Materials and instructions have been provided.

Client delays, missing information, additional requests or changes may extend the production timeline.

If Make It Real experiences a material delay, it will inform the Client when reasonably practicable.

Depending on the circumstances, Make It Real may offer reasonable compensation, a credit toward a future Project or another appropriate commercial solution.

No automatic delay penalty applies unless expressly agreed in writing or required by applicable law.


8. Revisions and Changes

Unless otherwise agreed, the Project includes up to three (3) reasonable revision rounds.

A revision round means one coherent batch of related feedback submitted by the Client.

Technical corrections, missing files or material failures to follow the agreed specifications do not count as revision rounds.

A substantial change of direction, new creative brief, new reference, additional stem, additional duration or other work outside the original scope may be treated as additional work and may incur additional charges.

Changes requested after the Client has approved or accepted a Deliverable may also be charged where they require additional work.


9. Delivery, Acceptance, Cancellation and Refunds

Deliverables are normally supplied digitally in the formats specified in the Project Confirmation.

DAW session files, including Ableton, Logic, FL Studio or other editable project sessions, are not included unless expressly agreed.

The Client has seven (7) Business Days after delivery to report a material issue or submit reasonable revision feedback.

If the Client does not provide feedback or raise an issue within this period, the Deliverables may be deemed accepted for contractual purposes.

This acceptance mechanism does not remove or replace any mandatory statutory consumer rights, including applicable withdrawal rights or legal guarantees.

Technical defects or material failures to comply with the agreed specifications will be addressed in accordance with the applicable Project terms and will not count as a revision round.

Consumer Withdrawal Rights

Where the Client is a Consumer and mandatory law grants a right of withdrawal, that right remains applicable subject to the conditions and exceptions provided by law.

Where the Client expressly requests that Services begin before the end of an applicable withdrawal period, the consequences prescribed by applicable law may apply.

Where the Services have been fully performed before the end of an applicable withdrawal period, the Consumer may lose the right of withdrawal where the legal conditions for such loss are satisfied.

Except where mandatory law provides otherwise, cancellation after the applicable cancellation or withdrawal period and after production has begun does not automatically entitle the Client to a refund for work already performed or costs already incurred.


10. Professional Vocal Services

Professional Vocal Services are subject to singer availability.

The Client selects from singers made available by Make It Real.

The singer is an external contractor or collaborator and does not become a party to the Client’s contract with Make It Real unless expressly agreed otherwise.

If the selected singer becomes unavailable, Make It Real may offer:

  • An alternative singer
  • A revised recording date
  • A refund of the Professional Vocal Service amount where no acceptable alternative can be provided

A replacement singer may result in differences in vocal timbre, interpretation or performance.

The purpose of the service is to create a new professional human vocal performance suitable for the agreed Project.

No exact imitation, impersonation or cloning of a reference singer is guaranteed or included.


11. Vocal Rights, Royalties and Exploitation

Vocal rights are separate from rights relating to instrumental Deliverables.

Depending on the Project, vocal compensation may be structured as:

  • A fixed fee or buyout
  • A fixed fee combined with royalties
  • A royalty arrangement
  • Another written compensation arrangement

Where royalties apply, the relevant Project Confirmation or rights agreement should specify the applicable percentage or calculation method, revenue basis, duration, territory, exploitation rights, reporting arrangements and applicable deductions.

A singer may retain or receive rights in their performance where applicable.

Make It Real grants or transfers only those rights that it actually owns or is authorized to grant.

The Client’s exploitation of vocal Deliverables remains subject to the rights expressly granted and to any rights retained by the singer or other rights holders.

Unless otherwise agreed, instrumental Deliverables are intended to be commercially usable by the Client after full payment.

Make It Real does not retain an ongoing royalty percentage or require a producer credit for instrumental work unless expressly agreed.

Underlying musical compositions, lyrics and third-party rights remain separate from the rights in the newly created recording.

No rights are implied beyond those expressly granted.


12. Intellectual Property and Rights in Deliverables

Subject to full payment and the specific Project terms, the rights applicable to the Deliverables are granted, assigned or licensed as expressly stated in the Project Confirmation or applicable rights agreement.

For instrumental Deliverables, the intended commercial rights may include the right to:

  • Release and distribute the music
  • Use streaming platforms
  • Work with labels or distributors
  • Sell or license the recording
  • Use the recording in films, television, advertising, games, podcasts or other media
  • Modify or edit the Deliverables
  • Provide stems or Deliverables to third parties for legitimate use
  • Monetize the resulting work

These rights remain subject to any underlying composition, lyric, sample, third-party or other rights that are not owned by Make It Real or the Client.

Make It Real retains ownership of its pre-existing materials, know-how, methods, templates and tools.

The Client retains ownership of the Client Materials, subject to any third-party rights.

No assignment of rights is implied beyond the rights expressly agreed.

Moral rights and other non-transferable rights remain subject to applicable law.


13. Client Materials and Responsibilities

The Client may provide AI-generated or AI-assisted audio, stems, MIDI files, lyrics, recordings, references and other materials.

The Client represents that they have the necessary rights, permissions and authorizations to provide the Client Materials and request the Services.

The Client is responsible for complying with the terms applicable to any AI service, platform, sample library, recording, composition or other third-party material they provide.

Make It Real does not automatically clear or validate third-party rights.

Make It Real may refuse or suspend a Project where it reasonably identifies legal, authorization or technical concerns.

The Client must provide accurate and complete information and instructions.

Client errors, missing materials or changes may result in delays or additional charges.

The Client remains responsible for maintaining their own backups of the Client Materials.


14. Commercial Use and Distribution

Subject to full payment and the rights actually granted, the Client may commercially exploit the applicable Deliverables.

Commercial use may include:

  • Spotify and other streaming services
  • Digital distribution
  • Record labels
  • Publishing
  • Sale or licensing
  • Film and television
  • Advertising
  • Games
  • Podcasts
  • Social media
  • Monetization
  • Synchronization
  • Editing and modification

The Client remains responsible for ensuring that all underlying rights and third-party permissions required for the intended exploitation have been obtained.

Make It Real does not guarantee acceptance by Spotify, distributors, record labels, publishers or other platforms.

Make It Real does not guarantee monetization, revenue, commercial success, playlist placement, audience response or any particular business outcome.


15. Confidentiality

Make It Real treats Client information, project details and Client Materials as confidential by default.

Make It Real will not intentionally disclose or publish such information for promotional or portfolio purposes without the Client’s authorization, unless disclosure is required by law.

Information may be shared with employees, contractors, vocalists, collaborators, technical providers or professional advisers where reasonably necessary to complete the Project.

Confidentiality obligations do not apply to information that:

  • Is publicly available without breach
  • Was lawfully known before disclosure
  • Is lawfully received from a third party
  • Is independently developed
  • Must be disclosed by law or competent authority

Confidentiality obligations survive completion or termination of the Project.


16. Portfolio and Promotional Use

Make It Real does not automatically have the right to use a Client’s Project for promotional purposes.

Separate authorization may be requested for:

  • Website portfolio
  • Instagram or other social media
  • Advertising
  • Case studies
  • Before-and-after demonstrations
  • Project excerpts
  • Screenshots
  • Client name or project title
  • Testimonials

The scope of any authorization will depend on what the Client has expressly approved.

The Client may request that future promotional use cease.

Such a request does not necessarily require removal of material already lawfully published by third parties or beyond Make It Real’s reasonable control.


17. Third-Party Contractors and Collaborators

Make It Real may use independent contractors and collaborators, including musicians, vocalists, engineers and other professionals.

The Client’s contractual relationship remains with Make It Real unless expressly agreed otherwise.

Make It Real may select and coordinate appropriate contractors for the Project.

Client Materials may be shared with such contractors where reasonably necessary.

Appropriate confidentiality obligations will apply where relevant.

Make It Real may replace a contractor or vocalist where necessary, subject to the applicable Project terms.

Nothing in these Terms creates an employment relationship, partnership, joint venture or agency relationship between the Client and any contractor.


18. Force Majeure

Make It Real shall not be responsible for delays or failures caused by circumstances beyond its reasonable control, including:

  • Natural disasters
  • War or civil disturbance
  • Government action
  • Epidemics or pandemics
  • Strikes
  • Power failures
  • Internet or cloud infrastructure failures
  • Major software or hosting failures
  • Payment service failures
  • Cybersecurity incidents
  • Serious illness or incapacity
  • Essential contractor or vocalist unavailability

Where reasonably possible, Make It Real will inform the Client and take reasonable steps to mitigate the effects.

If the event continues for a significant period, the parties may discuss postponement, modification, replacement or cancellation of the Project.

Mandatory legal rights remain unaffected.


19. Liability and Limitations

Make It Real will provide the Services with reasonable professional care and diligence.

Make It Real does not guarantee:

  • Acceptance by streaming platforms
  • Acceptance by distributors
  • Acceptance by record labels
  • Monetization
  • Commercial success
  • Revenue
  • Career results
  • Audience response

Creative differences between a recreation and the reference material do not automatically constitute a defect.

Differences in instrumentation, arrangement, sound design, timbre, performance, vocals or mixing may naturally occur in a new human recording.

A material failure to follow an agreed specification may be addressed through the applicable revision or correction process.

To the maximum extent permitted by law, Make It Real shall not be liable for indirect, incidental, special or consequential losses, including lost profits, lost opportunities, lost revenue or commercial losses.

Subject to mandatory law, Make It Real’s total liability relating to a Project shall not exceed the amount actually paid by the Client for the affected Project.

Nothing in these Terms limits liability that cannot legally be limited, including applicable mandatory consumer rights or liability for matters that cannot lawfully be excluded.


20. Client Indemnification

To the extent permitted by law, the Client shall be responsible for claims arising from:

  • Lack of authorization for Client Materials
  • Infringement resulting from Client Materials
  • Unlawful use of reference materials
  • Breach of the Client’s obligations
  • Unauthorized exploitation by the Client

The Client shall reasonably cooperate in the handling of such claims.

Make It Real may control the defense or settlement of a claim where legally permitted.

Make It Real will not seek indemnification for claims caused by its own breach, unlawful conduct, intentional misconduct or independent infringement.

Mandatory legal rights remain unaffected.


21. Suspension and Termination

Make It Real may suspend a Project where reasonably necessary due to:

  • Non-payment
  • Missing Client Materials
  • Rights or authorization concerns
  • Material breach
  • Legal or technical risks
  • Requests outside scope
  • Force majeure
  • Contractor or vocalist unavailability

Client delays may suspend the applicable production timeline.

Make It Real may terminate a Project where appropriate due to material breach, non-payment, repeated non-cooperation, unresolved rights concerns, unlawful requests, technically impossible work, significant scope issues or other circumstances making completion impracticable.

Client cancellation remains subject to the applicable withdrawal and refund provisions.

Where production has begun, amounts relating to work already performed or costs already incurred are generally not refundable, subject to mandatory law.

If Make It Real terminates a Project for its own reasons before performing the relevant Services, it will refund any amount relating to Services not performed where appropriate.

Sections intended by their nature to survive termination shall remain effective.


22. Privacy and Data Protection

Make It Real processes personal data in accordance with applicable data protection law.

The collection and use of personal data are described in the Make It Real Privacy Policy.

The Privacy Policy explains, among other things:

  • Categories of personal data collected
  • Purposes of processing
  • Legal bases
  • Recipients
  • Data retention
  • Data protection rights
  • Cookies and tracking
  • External payment services
  • International data transfers

The Privacy Policy is separate from these Terms.


23. Complaints, Consumer Mediation and Dispute Resolution

Clients are encouraged to contact Make It Real first in the event of a complaint.

Make It Real will make reasonable efforts to resolve complaints directly.

Where mandatory consumer mediation rules apply, the Consumer may have access to a duly appointed consumer mediator in accordance with applicable French law.

The relevant mediator’s details will be provided and published once the applicable mediation arrangement has been formally established.

Mandatory consumer rights remain unaffected.


24. Governing Law and Jurisdiction

These Terms are governed by French law, subject to any mandatory provisions of the law applicable to the Client.

Where the Client is a Consumer, mandatory consumer protection rules applicable to the Consumer remain unaffected.

For Professional Clients, disputes shall be subject to the competent courts determined under applicable rules and, where legally permissible, may be brought before the courts having jurisdiction over Make It Real’s professional establishment.

Nothing in this section prevents a Consumer from relying on mandatory jurisdictional protections available under applicable law.


25. Changes to These Terms

Make It Real may update these Terms from time to time.

The updated version will be published on the website with a new effective date and version number.

Unless otherwise required by law, changes will generally apply to future Projects.

A Project already confirmed under a previous version will generally remain governed by the version accepted for that Project, together with any applicable Project-specific agreement.


26. General Provisions

These Terms, together with the applicable Project Confirmation, quotation and rights agreement, constitute the contractual framework applicable to the relevant Project.

If any provision is found invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.

Failure to enforce a provision does not constitute a permanent waiver of that provision.

The Client may not assign contractual rights or obligations where prohibited by law or without Make It Real’s consent where such consent is required.

Nothing in these Terms creates a partnership, agency, employment relationship or joint venture.

Electronic communications and records may be used as evidence to the extent permitted by applicable law.

These Terms are drafted in English for an international audience. Where a French version is provided, the version designated as controlling by Make It Real or expressly accepted for the relevant Project shall govern, subject to mandatory law.

The current version of these Terms is published on the Make It Real Website.

The version applicable to a particular Project will generally be the version in effect and accepted at the time the Project is confirmed, subject to any specific written agreement and mandatory applicable law.

Make It Real may maintain previous versions of these Terms for legal, administrative, or evidentiary purposes.
